Giant Group to Increase Stake in D.Mag to 96.63% with RMB 597 Million Acquisition

Giant Group approved a major equity acquisition plan at its Board of Directors meeting on August 7, 2026. As part of its strategic business adjustment, Giant plans to acquire all shares in D.Mag (Kunshan) New Material Technology Co., Ltd. (“D.Mag”) held by United King Limited (Samoa) (“UKL”), D.Mag’s second-largest shareholder and a related party of Giant Group.

The transaction will be executed through Giant Holding Co., Ltd. (“GCH”), a wholly owned subsidiary of Giant Group, for a total purchase price not exceeding RMB 597 million (approximately TWD 2.83 billion).

Under the transaction, GCH will acquire up to 130,450,500 shares at a proposed cash consideration of RMB 4.5764 per share, for a total transaction amount of approximately RMB 596,993,669. Giant Group currently indirectly holds a 60.3938% stake in D.Mag through its subsidiaries. The transaction is expected to acquire approximately 36% of D.Mag’s non-controlling interests for RMB 597 million. Upon completion, Giant Group's consolidated shareholding in D.Mag will increase to 96.63%.

D.Mag is primarily engaged in the manufacturing and sales of products utilizing advanced alloy materials, accounting for approximately 7% to 8% of Giant Group's consolidated revenue.

Giant Group stated that the increase in its shareholding in D.Mag is part of the Group’s strategic business adjustment, aiming to further focus on related business development and improve the Group's operational management efficiency.

The transaction price was determined with reference to an independent expert’s opinion on the reasonableness of the transaction price. Funding for the acquisition will be sourced from GCH's own funds and external financing. The transaction will subsequently be subject to investment approval from the Department of Investment Review, Ministry of Economic Affairs (“MOEA Approval”), in accordance with the law, and the MOEA Approval will be one of the closing conditions.
